Welcome to Qualiteh. These Terms of Service ("Terms") govern your access to and use of our website, software solutions, and services (collectively, the "Services").
1. Acceptance of Terms
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.
2. Description of Services
Qualiteh provides:
- Software Solutions: Qualiteh Sync (8D problem solving), Tempo (time tracking), KPI Sentinel, Audit, QMS, and Learn
- Expert Services: Escalation support, PPAP/APQP, supplier development, training, and resident engineering
- Hybrid Solutions: Combined software and expert services
3. User Accounts
To use certain Services, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
4. Acceptable Use Policy
You agree NOT to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload malicious code, viruses, or malware
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Services
- Use the Services for competitive analysis or benchmarking
- Resell or redistribute the Services without authorization
5. Intellectual Property Rights
Our Rights: All content, features, and functionality of the Services (including software, text, graphics, logos, and trademarks) are owned by Qualiteh and protected by copyright, trademark, and other intellectual property laws.
Your Rights: You retain ownership of data you upload to our Services. By uploading data, you grant us a limited license to process, store, and display that data solely to provide the Services to you.
6. Subscription and Payment
Fees: Access to certain Services requires payment of subscription fees. Fees are billed in advance on a recurring basis (monthly, quarterly, or annually).
Automatic Renewal: Subscriptions automatically renew unless canceled at least 7 days before the renewal date.
Refunds: Refund policies are detailed in your service agreement. Generally, fees are non-refundable except as required by law.
7. Free Trials and Demos
We may offer free trials or demo access. Free trial subscriptions automatically convert to paid subscriptions unless canceled before the trial period ends. You will be notified before any charges are applied.
8. Service Modifications and Termination
Modifications: We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice of significant changes.
Termination: We may terminate or suspend your access immediately if you violate these Terms. You may cancel your subscription at any time through your account settings.
9. Warranties and Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUALITEH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY BUGS, VIRUSES, OR MALWARE TRANSMITTED THROUGH THE SERVICES; (D) ANY ERRORS OR OMISSIONS IN CONTENT.
11. Indemnification
You agree to indemnify and hold harmless Qualiteh, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights.
12. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by the laws of Serbia and the European Union.
Dispute Resolution: Any disputes will be resolved through good-faith negotiations. If negotiations fail, disputes will be resolved through arbitration in Belgrade, Serbia, in accordance with Serbian arbitration rules.
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15. Entire Agreement
These Terms, along with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Qualiteh regarding the Services.
